1. Agreement & Definitions

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Operator", "you"), and BTO SOLUTIONS LTD (RC 9452411), concerning your access to and use of the Shortlet OS platform and website ("shortletos.online").

By accessing the website, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are expressly prohibited from using the platform.

2. Naira-Denominated SaaS Subscriptions

Shortlet OS provides software licensing priced in Nigerian Naira (NGN), securing predictable cash flow mapping:

• Billing Frequency: Subscriptions are billed on a monthly recurring basis or in an annual billing cycle (inclusive of a 2-month equivalent discount) directly routed via Paystack.
• Starter Plan: Restricted to 5 properties and 10 operational team members.
• Growth Plan: Restricted to 15 properties and unlimited team members.
• Scale Plan: Unlocked for unlimited units, subject to a customized setup agreement.

3. Property License & Account Integrity

When creating an account on Shortlet OS, you agree to:

• Provide accurate and verified listings. The platform does not allow operators to register units they do not legally own, lease, or manage.
• Maintain the confidentiality of your credentials. You are fully responsible for all check-in messages dispatched under your team login.
• Connect an active Paystack profile to enable accurate payment processing and reconciliation.

4. Liability Limits for Third-Party Service Latency

Shortlet OS relies on third-party services, including the Paystack payment gateway and the WhatsApp Business API, delivered through their webhooks and APIs.

Consequently, BTO SOLUTIONS LTD is not liable for data latency, delivery delays, or guest dissatisfaction arising from network outages on those platforms, third-party payment delays, or ISP disruptions in Nigeria.

5. Subscription Cancellations & Refunds

Operators can cancel their active subscription at any time directly through the billing portal.

Cancellations will take effect at the end of the current paid billing cycle, and no partial monthly or annual refunds will be issued. Under our Founding Operator Beta, operators who sign up before the paid launch use Shortlet OS free until 31 January 2027, or for 30 days from sign-up if later, with no card required and the right to leave at any time without liability.

6. Intellectual Property Rights

All proprietary systems, source codes, visual templates (including the interactive WhatsApp resolve widget), logos, HSL dark-gold styling parameters, and copy components on shortletos.online are owned exclusively by BTO SOLUTIONS LTD (RC 9452411).

Operators are granted a non-transferable, limited license to access the SaaS panel during the active period of their paid subscription.
